1. Definitions
"Software" means XENITH, including the plugin binaries, presets, graintables, bundled assets, installers, updates, and related documentation provided by GVTOR. "Licensor" means GVTOR. "You" means the individual or legal entity using the Software.
2. License grant
Subject to your compliance with this EULA, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on compatible systems that you own or control for personal and commercial audio production.
3. Permitted output
You own the original music and audio works you create with the Software. Licensor does not claim ownership of your finished songs, scores, sound design, or other original productions created with the Software.
4. Restrictions
You may not:
- Reverse engineer, decompile, or disassemble the Software, except to the extent such restriction is prohibited by applicable law.
- Rent, lease, sublicense, distribute, share, resell, or make the Software available to third parties except as expressly authorized by Licensor.
- Redistribute the Software's presets, graintables, samples, assets, or other bundled content in standalone form, or as part of a competing product, library, or sound pack.
- Remove or alter copyright, trademark, license, or attribution notices.
- Use the Software in any unlawful manner.
5. Ownership
The Software is licensed, not sold. Licensor and its licensors retain all rights, title, and interest in and to the Software, including all intellectual property rights not expressly granted in this EULA.
6. Updates and pre-release builds
XENITH may be provided as a beta, preview, release candidate, or other pre-release build. Pre-release versions may contain defects, incomplete features, compatibility issues, or changes to presets, content, and behavior. Licensor may modify, update, suspend, or discontinue any part of the Software at any time.
7. Third-party components
The Software may include third-party open-source or proprietary components. Those components are licensed under their own applicable terms, which remain in effect for those components.
8. No warranty
The Software is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, Licensor shall not be liable for any indirect, incidental, special, exemplary, consequential, or punitive damages, or for any loss of data, revenue, profits, goodwill, or business interruption, arising out of or related to the Software or your use of or inability to use the Software, even if advised of the possibility of such damages.
10. Termination
This EULA remains in effect until terminated. It terminates automatically if you fail to comply with its terms. Upon termination, you must stop using and delete all copies of the Software in your possession or control.
11. Governing law
This EULA is governed by the laws applicable in Licensor's home jurisdiction, excluding conflict-of-law rules, except where mandatory consumer protection law requires otherwise.
12. Entire agreement
This EULA is the entire agreement between you and Licensor regarding the Software and supersedes prior or contemporaneous understandings relating to the Software's license terms.
